Terms of Service

These terms govern your use of SDR AI, operated by BotLab. By creating an account, or by paying for access via the agent API, you agree to them. If you do not agree, do not use the service.

1. The Service

SDR AI is an AI-powered sales intelligence service. It researches companies and contacts, drafts personalized outreach emails, and produces verified lead lists. It is a research and drafting tool; it does not send emails on your behalf. You are responsible for reviewing every output before acting on it.

2. Two Access Paths

  • Human path: sign up with email and password, fund a prepaid balance, use the dashboard or API with a Bearer token.
  • Agent path: no account. Pay per request via Lightning (MPP). Receipts are issued by preimage. Using the API with a payment credential constitutes acceptance of these terms.

3. Accounts

You are responsible for keeping your credentials secure. One account per person or legal entity. Share API keys at your own risk. We may suspend or terminate accounts that violate these terms.

4. Billing

  • Prepaid balance: top up via Stripe (minimum $5 USD). Balance is consumed per request at published per-operation rates.
  • Pay-per-request (Lightning): each API call returns a 402 with an invoice; pay and retry with the preimage. No refunds on paid Lightning invoices.
  • Pricing changes: we may update published rates. Changes apply to requests made after the change; in-flight balance is not re-priced.
  • Refunds: unused Stripe balance is refundable within 30 days of the most recent top-up, minus any processing fees. Balance goes non-refundable after 12 months of account inactivity.
  • Taxes: prices exclude applicable taxes. Where required, sales or value-added tax is added at checkout.

5. Acceptable Use

You agree not to use SDR AI to:

  • Send unsolicited bulk email (spam), phishing, or deceptive outreach.
  • Harvest contact information from aggregators or private databases and route it back through our API.
  • Violate anti-spam laws that apply to your sending — including CAN-SPAM (US), CASL (Canada), GDPR (EU), UK PECR, Australia Spam Act. Compliance is your responsibility.
  • Impersonate another person or entity in generated emails.
  • Target minors, vulnerable individuals, or protected personal data.
  • Reverse-engineer, scrape, or overload the service. Rate limits are enforced (10 req/min per user or IP).
  • Use the service to build a competing AI product by exfiltrating prompts, responses, or training data.

6. Verified Lead Generation

The /api/v1/leads endpoint returns contact information that the relevant firms have published on their own websites. It is provided for legitimate business outreach purposes only. By using it you agree to:

  • Honor opt-outs, suppression requests, and unsubscribe mechanisms immediately.
  • Apply region-specific consent rules (e.g. CASL express vs. implied consent) before sending.
  • Not use lead data for harassment, doxing, training LLMs without consent, or any purpose that would violate the firm's reasonable expectation when they published the contact.

We reserve the right to refuse service on ICPs that clearly target prohibited outreach (e.g. scams, consumer debt collection to unknown parties).

7. Content Ownership

  • Your content: you own the research outputs and drafts generated for your account. We keep a limited license to store, process, and back them up to run the service.
  • Our content: the SDR AI name, software, API design, and marketing copy are owned by BotLab. Agent-discovery files (agent.json, llms.txt, OpenAPI spec) may be consumed by clients but not redistributed as your own.
  • AI outputs: outputs are generated by language models and web searches. They may contain errors, outdated information, or fabricated claims. Review before using.

8. Availability

We aim for high availability but do not guarantee uptime. Scheduled maintenance and third-party outages (Stripe, Cloudflare, Gemini API, Brave Search, Lightning Network) can affect service. Prepaid balance is not forfeit during extended outages; contact us for credit on material downtime.

9. No Warranty

The service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, BotLab disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.

10. Limitation of Liability

BotLab's aggregate liability for any claim arising from or related to SDR AI is capped at the greater of: (a) the fees you paid in the 12 months preceding the claim, or (b) $100 USD. BotLab is not liable for indirect, consequential, or incidental damages, including lost profits, lost opportunities, or reputational harm resulting from AI outputs you chose to send.

11. Indemnity

You agree to indemnify and hold BotLab harmless from claims arising out of: (a) your use of the service, (b) emails you send using drafts generated by the service, (c) your violation of these terms or applicable law.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate accounts for material breach (spam, fraud, security abuse, chargebacks). On termination we delete your data within 30 days, except billing records retained for tax compliance.

13. Changes to These Terms

We may revise these terms. The "Last updated" date at the top reflects the current revision. Material changes will be announced in the dashboard at least 14 days before they take effect. Continued use after the effective date is acceptance of the new terms.

14. Governing Law

These terms are governed by the laws of British Columbia, Canada. Disputes are resolved in the courts of British Columbia, unless applicable consumer-protection law requires otherwise.
